Binding Legal Agreement
These Terms and Conditions constitute a legally binding agreement between you and Lumenframe. By accessing our website, enrolling in our cinematography courses, or using our services in any capacity, you agree to comply with and be bound by these terms.
Please read these terms carefully before using our services. If you do not agree with any provision of these terms, you must not access our website or participate in our programs. Your continued use of our services signifies your acceptance of these terms and any subsequent modifications.
These terms work in conjunction with our Privacy Policy, Cookie Policy, and any specific course enrollment agreements to govern your relationship with Lumenframe.
User Obligations and Responsibilities
1. Legal Compliance
You agree to comply with all applicable local, national, and international laws and regulations in your use of our services. This includes but is not limited to copyright laws, privacy regulations, and professional conduct standards within the cinematography industry.
You are responsible for ensuring that your participation in our programs does not violate any contractual obligations, employment restrictions, or legal requirements that apply to you.
2. Conduct Requirements
You agree to maintain professional and respectful behavior when interacting with instructors, staff, and fellow students. Harassment, discrimination, threats, or disruptive behavior of any kind will not be tolerated and may result in immediate expulsion from programs without refund.
During facility use, you must follow all safety protocols, equipment handling procedures, and studio guidelines. Negligent or reckless behavior that endangers people or property is grounds for immediate removal from the premises.
3. Prohibited Activities
The following activities are strictly prohibited:
- Unauthorized recording, photographing, or reproduction of course materials, instructor demonstrations, or proprietary teaching methods
- Sharing or distributing course materials, login credentials, or facility access with unauthorized individuals
- Using Lumenframe facilities, equipment, or resources for commercial projects without prior written approval
- Attempting to access restricted areas of our website, network systems, or physical facilities
- Engaging in any activity that interferes with other users' ability to access or enjoy our services
- Misrepresenting your affiliation with Lumenframe or falsely claiming endorsement
4. Content Guidelines
Any content you create, submit, or share in connection with our programs must comply with legal standards and professional ethics. You may not create or share content that is defamatory, obscene, threatening, discriminatory, or that infringes on intellectual property rights.
When creating cinematographic work as part of our courses, you are responsible for obtaining necessary permissions, releases, and rights clearances for any copyrighted material, recognizable individuals, or private property featured in your work.
5. Age Restrictions
Participation in our programs requires that you be at least 18 years of age, or 16 years of age with written parental or guardian consent. Minors must have a parent or guardian review and agree to these terms on their behalf. Special safety protocols apply to minor participants.
Indemnification and User Liability
General Indemnification
You agree to indemnify, defend, and hold harmless Lumenframe, its instructors, employees, contractors, and affiliates from any claims, damages, liabilities, costs, or expenses, including reasonable legal fees, arising from your violation of these terms, your use of our services, or your negligent or wrongful conduct.
Equipment and Property Damage
You are financially responsible for any damage to equipment, facilities, or property caused by your negligent, careless, or improper use. This includes cinematography equipment, computers, studio facilities, and any borrowed materials. You may be required to provide payment for repairs or replacement before continuing in the program.
Third-Party Interactions
Lumenframe is not responsible for your interactions with third parties encountered through our services, including other students, visiting professionals, or external entities. You assume all risks associated with such interactions and agree to release Lumenframe from liability arising from disputes or issues with third parties.
Content-Related Claims
You indemnify Lumenframe against any claims arising from content you create, including copyright infringement claims, privacy violations, defamation claims, or other legal issues stemming from your cinematographic work or course projects.
Disclaimers and Limitations of Liability
Disclaimer of Warranties
Lumenframe provides services on an "as is" and "as available" basis. We make no warranties, expressed or implied, regarding the quality, accuracy, reliability, or completeness of our services, course content, or website information.
While we strive to provide high-quality cinematography education, we do not warrant that our instruction will meet your expectations, that you will achieve specific skill levels, or that course completion will lead to employment or career advancement.
We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Some jurisdictions do not allow disclaimer of implied warranties, so portions of this disclaimer may not apply to you.
Limitation of Liability
To the maximum extent permitted by law, Lumenframe shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to loss of profits, revenue, data, goodwill, or other intangible losses resulting from your use or inability to use our services.
Our aggregate liability for all claims arising from or related to these terms or your use of our services shall not exceed the total amount you paid to Lumenframe during the twelve months preceding the claim.
Consequential Damages Exclusion
Under no circumstances shall Lumenframe be liable for any failure or delay in performance, loss of use, loss of business opportunities, loss of data, or any other consequential or incidental damages arising from your enrollment in our programs or use of our facilities.
This includes damages related to equipment malfunction, scheduling changes, instructor availability, or circumstances beyond our reasonable control.
Force Majeure
Lumenframe shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, labor disputes, equipment failures, pandemics, or other unforeseen events. In such cases, we will make reasonable efforts to resume services as soon as practicable.
Privacy and Data Protection
Your use of our services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By agreeing to these Terms and Conditions, you acknowledge that you have read and understood our Privacy Policy.
You consent to the collection and processing of your personal data as described in our Privacy Policy, including data related to your enrollment, course progress, facility access, and communications with Lumenframe.
We take reasonable measures to protect your data, but cannot guarantee absolute security. You acknowledge that internet transmission and electronic storage carry inherent risks, and you assume these risks when providing information through our website.
Legal Jurisdiction and Dispute Resolution
Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. Any legal action or proceeding related to these terms shall be brought exclusively in the courts located in Tokyo, Japan, and you consent to the jurisdiction of such courts.
Dispute Resolution Procedures
In the event of any dispute, controversy, or claim arising from or relating to these terms or your use of our services, the parties agree to first attempt resolution through good faith negotiations. If informal negotiations fail, the parties agree to attempt mediation before a mutually agreed-upon mediator in Tokyo.
Litigation
If mediation is unsuccessful, any resulting litigation must be brought in the appropriate courts of Tokyo, Japan. You waive any objection to venue or jurisdiction in these courts. Both parties agree that any litigation will be conducted on an individual basis and not as part of any class or collective action.
Legal Fees
In any legal proceeding arising from these terms, the prevailing party shall be entitled to recover reasonable attorney's fees and costs from the other party, to the extent permitted by applicable law.
Severability Clause
If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent to the greatest extent possible.
If a provision cannot be modified to be enforceable, it shall be severed from these terms, and all other provisions shall remain in full force and effect. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision.
Modification of Terms
Lumenframe reserves the right to modify, amend, or update these Terms and Conditions at any time without prior notice. Changes become effective immediately upon posting to our website unless otherwise specified. The "Last updated" date at the top of this document reflects the most recent revision.
For significant changes that materially affect your rights or obligations, we will make reasonable efforts to provide advance notice through email or prominent website announcement. However, it is your responsibility to review these terms periodically.
Your continued use of our services after changes are posted constitutes acceptance of the modified terms. If you do not agree with any changes, you must discontinue use of our services and notify us of your withdrawal from any ongoing programs.
Entire Agreement
These Terms and Conditions, together with our Privacy Policy, Cookie Policy, Terms of Service, and any specific course enrollment agreements, constitute the entire agreement between you and Lumenframe regarding your use of our services.
These terms supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written, between you and Lumenframe. No modification to these terms shall be effective unless made in writing and signed by an authorized representative of Lumenframe.
Assignment and Transfer
You may not assign, transfer, or delegate your rights or obligations under these Terms and Conditions without prior written consent from Lumenframe. Any attempted assignment without consent shall be null and void.
Lumenframe may assign or transfer its rights and obligations under these terms to any entity, including in connection with a merger, acquisition, reorganization, or sale of assets, without your consent. We will provide notice of any such assignment that materially affects your rights.
Waiver of Rights
No waiver of any provision of these Terms and Conditions shall be deemed a further or continuing waiver of that provision or any other provision. Lumenframe's failure to assert any right or provision under these terms does not constitute a waiver of that right or provision.
Any waiver must be in writing and signed by an authorized representative of Lumenframe to be effective. Our exercise of any right or remedy under these terms does not preclude exercise of any other right or remedy.
